Early on I decided not to bring in my attorney, Steve Taylor, until we were close to closing on the merger. This week was the time. Steve, (CF Green's attorney,) discussed with EcoSafe's attorney concerning the structure of the merger to make it a "tax free exchange" type merger. Since EcoSafe's attorney was not familiar with the necessary documentation, he asked Steve to prepare the closing documents. Currently I am working with Steve, (the attorney) to prepare a draft of the merger agreement. I am scheduled to meet with Michael tomorrow to review the draft and submit it to his attorney. Now that I am directly involved in preparing the closing documents, I have a better sense as to when we can close the merger. I expect this week will be used for reviewing and editing and be in a position to close first of the week, unless there are major changes to the documents. I know everyone is frustrated with the progress we are making, but we are getting close. We had hoped to close before April 1st, but when I brought Steve into the picture, his first question was "is this a tax-free exchange?" That question delayed us and shifted the burden of the preparation of the documents to CF Green Corp. Anyway, I plan to issue a release as soon as we sign the closing documents, even if it is over a weekend. Hope this helps, Sincerely, Dan Green CF Green Corp.
