Shareholders of record as of 15 March and shares of record as of 15 March is the way I understand it. You must hold those shares through the 24th of April to qualify. ONTV is going much higher. Only a 50M float and the company cannot increase the issued for one year. It will fly on any new contract news IMO.

Looks like I was confusing cash and stock dividends. After looking over the April 4th document it appears the dividend trades with the stock until it is distributed...

SSTY announced that its Board of Directors declared a special stock dividend to SSTY shareholders to distribute 200M of the 250M outstanding shares of Class A common stock of ONTV, Inc, held by SSTY after the acquisition. No additional shares of SSTY will be issued after the 15 March 2006 record date for the purposes of distribution of the dividend.

The special stock dividend is to be payable on April 24th, 2006, and will mark the completion of SSTY’s spin-off of ONTV as True Product ID-USA (TPID). Record holders of SSTY common stock on the record date will receive 1 share of TPID common stock for every 19.697 shares of SSTY common stock they own. As of the record date, each certificate representing shares of SSTY will be deemed for all corporate purposes to evidence ownership of a pro-rata number TPID shares of common stock. Fractional shares will be rounded up to the nearest whole share.

SSTY’s common stock will begin trading “ex-dividend” on the first trading day following the distribution date or 25 April, 2006. As a practical matter, this means that although SSTY will distribute the ONTV/TPID shares to SSTY holders of record on the record date, if those holders sell their SSTY shares between the record date and the distribution date, they will also be selling the right to the ONTV/TPID special stock dividend by virtue of a due bill. Thus, in effect, the special stock dividend will remain attached to, and trade together with, the SSTY common stock until the distribution date (24 April 2006).
