What it sounds like they didn't break the law back then. This was way before the SOX came into power.

With that said, is unethical behavior ok as long as all employees benefit equally from it?
Because IMO, taking from the shareholders to line up the deal for the employees may not be ethical in my mind.
Looks like most if not all corporations were doing that prior to Saban Oxley though.
