(OTCBB: CNCN), a leader in Internet traffic management, announced today it has signed an Agreement for a bridge loan of $150,000, which may be convertible as partial payment via a convertible note, for the acquisition of LetsGame Co., Ltd. and the spin-off of "Let's Game" portal (www.letsgame.co.kr), pursuant to the MOU signed with Dataway Co., Ltd. ("Dataway") on February 16, 2006. The exact price of the acquisition, nor what percentage this bridge loan would be convertible into, has not been finalized between the parties. According to this Agreement, CinTel has the right to convert any or all of the Acquisition Price into equity before July 2006. CinTel intends to convert if Let's Game does well, but will require repayment if Let's Game performs below expectations. While the February MOU called for acquisition after thirty (30) days of due diligence, CinTel agreed to focus on the growth prospects of Let's Game rather than past performance and deferred the decision, with Dataway's permission, on whether to go forward until July. "Let's Game" was established as Dacom's game portal site. Dataway was founded with capital of approximately US$5 million as an independent game portal site by Dacom Inc. and Dacom MI Inc. which are Internet backbone network providers. As "Let's Game" currently has over three million (3,000,000) users, several years of know-how, operation systems and experience that has proven to provide stable service to its online users, this Agreement is expected to credibly establish CinTel's beachhead into the digital content service business with a proven product. This will allow CinTel a sure and proven footing in the industry with the ability to produce immediate returns on the investment. Dataway Co., Ltd. spun-off Let's Game Co., Ltd. less than a month ago, and has successfully established a strategic and marketing alliance with Edubox Inc. (www.edubox.co.kr), a KOSDAQ-registered company with over 4,000 distribution points in Korea and is ready to publish Edubox's Battlesudoku (www.battlesudoku.co.kr) and Battlepuzzle on its site on an exclusive basis outside of Korea. Battlesudoku is a unique game that has proven very popular in Japan, the US, England and other European nations among both the young and the old of both sexes, as it has brought a very popular paper-based game to the online user market.
