very simply they need a majority of the minority interests to get this deal done. I have a few thousand shares of ssalf and i assure you i am voting NO NO NO at the current offer. especially if they have some convoluted adjustment provision that hasnt been clearly spelled out. I think a very price is around $10 US cash or stock makes no difference. any one who votes yes for $3 is very strange. In fact i am contacting brownco/etrade tomorrow to make sure my negative vote gets counted.
