Xilinx says shareholder files stock option lawsuit

LOS ANGELES, June 7 (Reuters) - Semiconductor maker Xilinx Inc. (XLNX.O: Quote, Profile, Research) said on Wednesday that a shareholder filed a derivative complaint in a California U.S. District Court, purportedly on behalf of the company, against members of Xilinx's board and certain of its officers.

The company said in a statement that the complaint alleges, among other things, that the defendants mismanaged corporate assets and breached their fiduciary duties between 1998 and June 2 by authorizing or failing to halt the back-dating of certain stock options.
