Business Opportunity Over the last fifteen years, adoption of workplace drug testing increased significantly, in large part due to the Drug-Free Workplace Act of 1988 and the United States Department of Transportation’s random drug testing requirements for certain employees. The Company believes that drug testing will continue to be a fixture in corporate America as it gives rise to the following: (i) improved employee morale and productivity; (ii) cost savings and incentive programs offered by medical and screening services insurance carriers, property, casualty , and liability insurance carriers, and workers compensation insurance carriers; (iii) decreased legal costs and costs of hiring and training new employees; and (iv) fewer accidents and disciplinary actions.
Strategic Relationships The Company has developed strategic relationships with a variety of industry organizations, including the Substance Abuse Program Administrators Association (“SAPAA”) and the Drug & Alcohol Testing Industry Association (“DATIA”), two of the leading industry organizations comprised of TPAs, in-house administrators, MROs, SAPs, collection sites, and government agencies. The Company has also established relationships with leading laboratories, including LabCorp, Quest Diagnositcs, and LabOne, as well as with more than 8,000 collections sites, and with a network of accredited MROs.

Management G. Dexter Morris, Chief Executive Officer, is a leader within the drug testing industry and has been since its inception as: (i) one of the founding members of SAPAA; (ii) a proponent and developer of the Drug-Free Workplace Act of 1988; and (iii) a contributor to the design of the DOT’s regulations for drug testing. Mr. Morris represented the United States and was a co-keynote speaker at the International Symposium for Workplace Drug Testing, the purpose of which was to establish international workplace drug testing standards. Mr. Morris founded DISA, Inc., one of the then premier providers of employee screening services, and managed its growth and profitability from 1987 to 2002.
Charles E. Munson, Vice President of Client Services, has more than 10 years of industry experience. Prior to joining the Company, Mr. Munson was Director of Client Services at DISA, Inc., during which time he: (i) streamlined the work processes of multiple departments; (ii) supervised the daily operations of more than 20 employees; and (iii) managed the program administration of more than 3,000 clients, including some of the nation’s largest oil and gas companies.
Gary Butler, Vice President of Sales, has more than 11 years of industry experience, including as a sales representative and as Director of Business Development with DISA, Inc. At DISA, Inc., Mr. Butler was responsible for managing a 16-person national sales and support organization and managing the implementation of numerous programs, including for Shell Oil Company, Valero Energy, ConocoPhillips, and Port of Oakland.
