Securities Fraud occurs whenever an unregistered security is sold. During the 20 years I was on the Street, this was an absolute compliance red flag. Illegal Sale of an Unregistered Securty has always been forbidden, by Sections 5 and 6 of the Securities Act of 1933, and by provisions of the Securities Act of 1934.
