show me a company that expensed the bargain element of backdated stock options.

stock option plans are approved by shareholders. they are generally non-qualified stock options (nqso's). they require that options are issued at market price on the date of grant.

option backdating would violate the stock option plans approved by shareholders and thus would constitute a theft and fraud.
