I wasn't proposing that a public offering is a better way (perhaps I wasn't clear). I AM proposing that a big, one time private placement at a discount of 10 or 15% to the current market price is preferable because it removes the uncertainty. These equity line deals are death by a thousand cuts. They actually have a lot in common with the "death spiral converts" that you mentioned because there is an incentive to short the stock and it's virtually risk free.
