Yes, I think you raise several issues on important topic, which I can sometimes remember the stock answers for when I am sober. Usually though, I just remember that I have to find answers for them when I get drunk again, promising myself to find the answers when I sober up and promptly forgetting them.

I think US people are OK. basically they can't help it if they are born there so we don't want to unduly penalize them for that.

There are different rules for accredited investors, and seed people. In general it is all feasible if one makes a declaration to the SEC regarding the investment.

Ask our lawyer. He knows the answer to some of these questions.

I am not sure an IRA allows investment in non exchange companies per se. It does allow a listed trade. If one is accredited it allows PP's, but don't quote me on that.
