I agree that management likely did not benefit, so why did they do it the way they did? Remember how this went - they arrange the sweetheart deal over night the day before the news release came out. Now maybe the buyers of this offering had absolutely no idea this news was coming out - and maybe there is a santa claus - but what serious adult believes either?

It is NOT that the price jumped - hey, I'm happy about that. It's that the retail investor does not get to play on a level playing field - plus it hurts the ethical company. When companies play these kind of games, they get results imposed by the government. Sarbanes-Oxley! That in turn hurts every company, including that company with the very highest ethical minded management.
