As I understand he diversified. He exchanged citi stock for shares in a big mutual fund.

Is that really very different from divesting? Partly I suppose it depends on what % of the mutual fund holdings are in citi stock (after adding in their new stake). Also, I doubt he has any reporting requirements if he now divests himself of his mutual fund stake.

All in all, I say it counts as an insider sale.
