Terms call for @Road holders to receive $5 a share cash plus $2.50 in either Trimble stock or a mixture of cash and stock for each of their shares. On Friday, @Road shares closed at $6.71, indicating a premium of 12%. After subtracting @Road's $79 million of net cash, the deal value is $417 million. In a statement, Trimble said @Road executives, directors and other holders representing 23% of the shares had agreed to vote for the transaction. Trimble estimated full-year 2007 adjusted earnings of $2.10 to $2.15; excluding the deal, it estimates adjusted profit at $2.30 to $2.35 a share. A survey of analysts by Thomson First Call estimated the year's earnings at $2.02 a share.
