I've seen PUTS and CALLS disclosed in Form 13HR, so I don't think that is the derivative they may use. Maybe a structured obligation (maybe they sell the economic but not he voting interest to an IB? I have no clue myself and part of the answer depends on what is actually required to be disclosed in the 13HR/13G (if it is only registered securities, then we may never find out).
