It often occurs that stocks don't move up to the offer price especially where the offers are stock based but it is not so usual with cash offers.

Either the market thinks that the offered price is excessive and some "skeleton in the closet" will be revealed that allows the purchaser to void the deal or, more likely, PAT has been depressed for so long that the current stock holders are just glad to unload in the present market and get cash.

I think it is the latter, a short term market reaction to a poor market and a "sudden windfall" for long suffering shareholders that allows a quick opportunity to sell...
