Yes, 40-45%, that's correct.

The other 55-60% will become subscribers who will be around for an extended period of time. In particular, Lexus/Infiniti (and other luxury car) owners are apt to view the $13/month as inconsequential and have no reason to drop it, ever.

Of course, if this lame-brained merger goes through, it hardly matters -- XM will be dragged down by SIRI's lousy performance. But that's a different story. Hopefully, FCC will stop it before it kills BOTH companies.
