The difference lies with the managements. A well managed company acquires a less well managed but otherwise healthy company, kicks out those morons and adds the value of a good management and thus eventually value to the bottom line.
VCLK was well managed and thus too expensive and offered no such opportunity.

Just my take on the situation.
