Global Rail Systems Acquires Personal Traffic Master Software From Alstom Transport
Monday August 27, 7:00 am ET

MARLIN, Texas, Aug. 27 /PRNewswire/ -- Global Rail Systems, Inc. (http://www.globalrailsystems.com), a Marlin, Texas-based railroad automation company, said today it has acquired the Personal Traffic Master software system from Alstom Transport. The Personal Traffic Master System is a mature and proven software platform for dispatching yards, CTC, and dark territory on both main line and transit properties.

Under the terms of the acquisition, Global Rail Systems will modify the software and market the system as TrackMaster(TM). The new acquisition will complement Global Rail Systems existing YardMaster(TM) System.

Canadian Pacific Railway to buy DM&E for $1.48 bln - L.B. Foster

Sept 5 (Reuters) - Canadian Pacific Railway Ltd (CP.TO: Quote, Profile, Research) has agreed to buy Dakota Minnesota and Eastern Railroad Corp (DM&E) for $1.48 billion in cash and future contingent payments of up to $1 billion, L.B. Foster Co (FSTR.O: Quote, Profile, Research) said.

L.B. Foster, which holds a minority equity interest in DM&E, said it will receive about $151.5 million, or $14.24 per share, at the closing of the deal.

L.B. Foster, a manufacturer of products for the rail, construction, utility and energy markets, said it will use the proceeds from the deal to pay certain debt, among others. (Reporting by Tenzin Pema in Bangalore)

L.B. Foster to acquire Portec
Pittsburgh Business Times

L.B. Foster Co. said Wednesday it will acquire Portec Rail Products Inc.

Green Tree-based L.B. Foster (Nasdaq: FSTR) will make a cash tender offer for all of Portec's outstanding shares of common stock at $11.71 per share.

Portec (Nasdaq: PRPX) is a rail supplier based in O'Hara Township, near Pittsburgh. Manufacturer L.B. Foster in January reported fourth-quarter earnings of $3.9 million, or 38 cents per share, which beat Wall Street's expectations.

"The proposed acquisition will bring together two organizations with a rich history of successfully delivering products and services to the global rail industry," Stan Hasselbusch, L.B. Foster's president and CEO said in a prepared statement.

The deal is subject to regulatory approval, but is expected to close before the second quarter of 2010.
