Well, if management owns a controlling stake in the stock, then they are selling themselves too cheap... but at least they aren't selling others peoples stock too cheap. I'd would think one would have a bigger complaint if management didn't own a share?

So, I guess the majority owners of the company want to let someone else take the company to a higher market cap.

All in all, I fail to see where this isn't a really nice gain they way I see it.
