There is a reason Spinco-2 is a choice of last resort. Engineer's, lawyers, back and forth we go, one thing I cannot stomach is decisions based on silly notions of financial engineering. The best interest of shareholders may or may not be be served by Spinco-2. It seems to me that anyone who thinks the best interest of shareholders is best served by maximizing value tomorrow so that they can sell out is not an investor at all but instead a speculator who will be gone before the morning sun rises. If they do in fact do Spinco-2 I am gone since they will have shot themselves in the foot in order to placate short term minded speculators instead of long term owners. Cutting you nose off in spite of your face is not an answer. The solution is to fight your enemy and win.
