12/12/2007 - Nuance Communications Inc. (NUAN) plans to offer about 15 million shares in a public offering. The company said it plans to offer 9.6 million common shares, while Warburg Pincus, a selling stockholder, is expected to sell 4.8 million shares and certain members of Nuance management are expected to sell an additional 600,000 shares. The speech and digital imagine software company said it will not receive any proceeds from sales of shares made by selling stockholders.

Insiders/ management are selling 600,000 of their 6 million share position. Since many top execs get options in lieu of salary, consider it a payday for them, not a lack of belief in the firm. After the sale, they still hold quite a cache.
Major shareholder, Warburg Pincus is selling 4.8 million shares or 15% of its stake. They will still hold 25.5 million of 193 million total shares outstanding.
They say the sale is to recoup thier original investment. They are letting the rest ride, which is quite impressive. See here for reference, last paragraph.
