Another negative middle of the night post from rushlong. I'm convinced he is short ACII. There is no information on Rossman other than he didn't produce. It's a phantom negative spin and lies from rushlong.

rush: I think that it was a surprise to even the LONGS (post-split that is). Management seemed at a loss as to why this dropped after the R/S. I don't quite understand it either, assuming IRs statement that float remains unchanged post-split is true. As far as the drop prior to R/S, I think the dilution, the announcement of an R/S and the lack of major LACC revenues pretty much explains it.

Re: payment for KSI, they have to pay $50k/month (which includes interest) for 18 months and then pay the balance. I don't think they put that early-payoff provision in there because Kotsonis thought the PPS would sky-rocket in 2007. He's been dealing with these guys since mid-2004 so IMO he wasn't counting on that happening. A large payment (slightly under $2M) will be due around September of this year as the 18-month time period will be over.

Re: Rossmann, who knows the real reason he's gone. Well, I'm sure Marc & Co know, and I'll bet Rossmann's version is different. If he did do the things alleged (by a message board poster), then I suspect the company would at least try to get his stock back. IR pretty much gave out boiler-plate info on this, here's what I (and others) got:

With respect to the rumour about Rossmann.. I have been advised by our attorney that the Board of Directors is conducting an investigation and upon completion will report to the shareholders, subject to legal advice.

If Rossmann did do what is alleged, I'm sure we would hear about it at some point. If we don't hear anything, then I'd go on the assumption he was asked to resign for (lack of) performance as IR has stated.

For you to suggest "the only other reason to put this in writing would be for investor benefit ie. making it look like this was a good possibility..." is on your part a wild irresponsible misleading comment that could well be considered as conspiratorial to mislead the public.
I am of the opinion that terms included in a 10KSB/A stating terms of an contract agreement are arrived at though arduous arms length negotiations made in good faith. If I were M. Walthers or owner of KSI I might fear they go after you for libel.

On the contrary I believe the representations of value were based on conservative fair evaluations of ACII at the time. And IMHO, that as of this time later, may have been an under evaluation post split.
