Sybase Begins $300 Million Tender Offer

Business Software Company Sybase Begins Modified Dutch Tender for $300 Million Common Stock

DUBLIN, Calif. (AP) -- Business software company Sybase Inc. said Monday it began a modified Dutch auction tender offer for up to $300 million of its common stock.
The number of shares to be purchased represents about 11.6 percent of Sybase's outstanding shares, if priced at the midpoint of a range of $28 to $30 each. Shares closed Friday at $25.17.

The offer expires at the close of business on April 7.

A modified Dutch auction lets stockholders indicate how many shares and at which price they wish to sell their shares, within a specified range.

Merrill, Lynch, Pierce, Fenner & Smith Inc. is the dealer-manager for the tender offer.
