This is one of the most interesting situations ive ever seen.
from my limited knowledge the following points will probably have to be adressed in litigation:

the building alone is worth $9 a share
employees own 30% of the company
its quite possible that had the fed made the discount window available to bear stearns the fire sale would not needed to have taken place.

how does bear stearns function while the merger is being litigated?
