I'd guess the paramount consideration was to get the thing off the books as a continuous drag on finances.

If it crashes and burns, a one-time write-off will be considered much less damning by Wall Street than the hemorrhage quarter after quarter.

As far as Francisco Partners goes .. I'm still sticking with my theory that the money they inject is in fact backed by Intel's investment branch, either as a loan or as a silent investment covering the whole amount - so they couldn't care less about the real valuation of Numonyx since they effectively only act as a strawman to put that 2.4 billion number in the heads of potential investors/loan givers.
