The following is an excerpt from a SB-2/A SEC Filing, filed by AMERICHIP INTERNATIONAL INC on 3/24/2005. On July 13, 2004, we issued 1,084,285 shares of our common stock to The ALPS Group, Inc. in connection with the provision of consulting services to us. On that same date we issued 1,815,000 shares of our common stock to Martin Richards & Associates Ltd., 1,815,000 shares of our common stock to Stone Castle Ltd. and 3,200,000 shares of our common stock to Anthony R. Boyden, for the provision of consulting services to us by each of the above named consultants.
