MONTREAL, QUEBEC--(Marketwire - June 3, 2008) - Ressources Minieres Pro-Or inc ("Pro-Or") (TSX VENTURE: POI.V) announces the signature of a Letter of Intent ("LOI") granting an option for an exclusive worldwide license to Pro-Or's Chromite Enrichment technology to produce Upgraded Chromite. The LOI between Pro-Or and Fer-Min-Ore (PTY) Ltd. ("FMO") of Sandton, South Africa, would lead to Pro-Or granting this license to a Joint-Venture to be set up by and equally-owned by FMO and Pro-Or once the technology validation period is completed and the Parties have agreed to go ahead with the Joint-Venture.

The Option is made up of two stages: the Technology Validation period and the JV set-up and Demontration Plant stage.

Initially FMO with the help of Pro-Or would conduct, at its expense, the detailed appraisal of the technology and process in South Africa using local feedstock from mines, residues and tailings. It would develop an Agreement in principle for the Joint-Venture, its operations and governance under terms agreed to by the Parties. They would elaborate a preliminary and final JV business plan, after which the parties would advise each other of their respective decision to proceed or not with the Joint Venture.

Once the decision to proceed taken, Pro-Or would grant to the JV an Exclusive irrevocable worlwide License for the Chromite Enrichment technology to produce Upgraded Chromite conditional on the JV designing, erecting and commissioning a Demonstration Plant which costs are to be covered by FMO. Once in operation the JV will be able to: sub-license the Technology to third parties, process feedstock on a contractual basis, or set-up additional JV-owned facilities.

The JV headquarters and incorporation would be in Montreal, Canada. Any additional advancement of the Intellectual Property developed by the JV would remain the property of Pro-Or.

Pro-Or sees the signature of this Agreement as the first step in a long and profitable relationship with Fer-Min-Ore where the two partners recognize the potential of these technologies."
