EII did not get their preliminary prospectus out until 6/17 and were still putting out revised versions on 7/14. That is with their meeting scheduled for 7/17 and the final date before liquidation of 7/21. They simply did it at the last minute and it was too little too late. They obviously did not put in the time and effort necessary to get the final SEC approval.

<By letter dated July 15, 2008, the Securities and Exchange Commission questioned the Company's ability to timely distribute the proxy statement to the Company's stockholders in advance of the Special Meeting. Only one day remains before the date of the Special Meeting (which date cannot be extended under the Company's certificate of incorporation beyond July 21, 2008). Accordingly, the Board of Directors of the Company, as of today's date, has cancelled the Special Meeting.>

So now the EII warrants (which had a high of $1.70 and were trading around $.30 in March) are worthless. Their deal died without ever reaching a vote. I do remember glancing at their deal and thinking it was rather bizarre.

ESA was driving me crazy with their extremely tedious and time consuming effort to obtain the final SEC approval. But they doggedly kept at it until the very final approval was received.

They put out the rough draft of the proxy materials on 3/19 and then after two revisions put out the final 100% SEC approved version on 6/27. This was a huge undertaking and absolutely crucial as you can see by the sorry fate of EII. So my hats off on this to ESA.

Incidentally if anyone has any problems with their proxies. First contact your brokerage company. They should easily be able to give you a reference number and a phone number so you can call in your vote. It shouldn't take more than about 30 seconds.

Georgeson is a firm hired by ESA that specializes in collecting proxies. I would contact them first and then if you still have any problems contact Ed Burns who said he would personally make sure that any problems would be taken care of.

Georgeson is busy contacting all share holders to check for problems, but they are going in reverse order of size.

Ed Burns says he is reasonably confident that the final vote will be successful by 7/31. He has no doubts that one way or another this deal will be completed successfully before the final deadline which is September 6th.
