Stalking horse is a BK method of selling a BK'd company's assets. Somebody acts as the "stalking horse" and bids a certain amount for the assets. If somebody outbids them, the stalking horse gets a fee and the other guy buys the assets. The stalking horse simply gets the ball rolling on the asset sale, to put a floor under the sale price.

That's the very short and simple version, anyway.
