It is fine to hazard your opinion, just don't claim "EITHER they did X OR Y" when X and Y are not mutually exclusive.

If the new venture violates the agreement they are mutually exclusive. Revealing the information violates the agreement. Withholding the information means withholding material facts. You may be arguing a different point, you didn't say what X & Y were, but that's my point. Damned if they do, damned if they don't.

What you claimed as facts, are not known to be facts. That is all I'm calling you on.

As you don't clarify what facts you are referring to, I can't answer you.
