MCI PLACED ON FITCHALERT EVOLVING

NEW YORK, Oct. 20 /PRNewswire/ -- Fitch has placed MCI Communications
Corp.'s (MCI) 'A' senior unsecured debt, 'A-' QUIPS and 'F-1'
commercial paper on FitchAlert evolving, following WorldCom Inc.'s and
GTE Corp.'s separate unsolicited bids for the company. Evolving
indicates the ratings could be raised or lowered.

MCI is placed on FitchAlert evolving, based on the company's uncertain
outlook and the differing credit profiles of the three potential
acquiring companies: British Telecommunications plc (BT), WorldCom and
GTE. MCI's debt ratings had been placed on FitchAlert positive in
November 1996 after BT and MCI announced definitive plans to merge. If
the BT/MCI merger is completed as planned, MCI's credit rating would be
enhanced by BT's considerable financial strength. If WorldCom is
successful in its $30 billion all-stock offer, MCI's credit quality
would likely weaken at least in the near term, as a result of
diminished bondholder protection measures and limited financial
flexibility. Should GTE acquire MCI for $28 billion in cash, the
significant increase in debt associated with this transaction would
result in a substantial deterioration in the company's credit profile.
However, at this time, the outcome of all three proposals is very
speculative.

With 1996 revenues of $18.5 billion, MCI, headquartered in Washington,
D.C., ranks as one of the world's largest telecommunications companies.
MCI is also the world's third largest carrier of international voice
traffic and operates one of the world's most advanced Internet
networks.

With revenues of more than $21 billion in 1996, GTE is one of the
largest publicly held telecommunications companies in the world.
Domestically, GTE offers local and wireless service in 29 states and
long-distance in all 50 states. GTE also provides Internet access
services and is active in government and defense communications systems
and equipment, directories and information services, and
aircraft-passenger telecommunications. Outside the U.S., GTE serves
seven million customers.

WorldCom operates in more than 50 countries and generated $5.64 billion
in revenue on a pro forma basis in 1996. The company is a premier
provider of facilities-based and fully integrated local, long distance,
international and Internet services. WorldCom's subsidiary, UUNET
Technologies, Inc., is an international provider of Internet services.

BT is one of the world's leading providers of integrated
telecommunications services. The company is the U.K.'s main provider
of local and long distance telephone service. BT also services
international telephone calls and provides mobile communication
services. It derives almost all of its revenues from operations in the
U.K.

Tim, it seems no one likes you on this thread. I think your funny! Maybe CSCO will by LU next year. At the current estimate CSCO will surely have a higher market cap than LU next year. Check it out! Thats why it makes sense for LU to by a winner before they fall further behind. Time can be the most expensive factor here, not the money.
