Evolving indicates the ratings could be raised or lowered. MCI is placed on FitchAlert evolving, based on the company's uncertain outlook and the differing credit profiles of the three potential acquiring companies: British Telecommunications plc (BT), WorldCom and GTE. MCI's debt ratings had been placed on FitchAlert positive in November 1996 after BT and MCI announced definitive plans to merge. If the BT/MCI merger is completed as planned, MCI's credit rating would be enhanced by BT's considerable financial strength. If WorldCom is successful in its $30 billion all-stock offer, MCI's credit quality would likely weaken at least in the near term, as a result of diminished bondholder protection measures and limited financial flexibility. Should GTE acquire MCI for $28 billion in cash, the significant increase in debt associated with this transaction would result in a substantial deterioration in the company's credit profile. However, at this time, the outcome of all three proposals is very speculative.
