So, what's the downside? ;-)

There are many things that need to be fixed now, and there has not yet been a time so unlikely as now for them to be fixed.

Major consolidation in the US auto industry OEMs is a generation overdue, since apparently evolution was not an option during this time. The last time I checked it was still possible for companies to merge without government assistance but it may not be as fashionable as it once was. GM+Chrysler has seemed like a natural for years. I have a perception that there could be a Ford Toyota in your future, but that may just be crazy talk.

I wouldn't be so worried about Tier 2/3, in my experience quite a few of these are entrepreneurial and are opportunity driven, the good ones will be back doing something worthwhile in time.

I think Detroit will get some sort of bailout, the labor card was played in the recent election and the bill is coming due immediately. Thus everyone is served, however, underlying issues may not be addressed, giving us the opportunity to relive this again in a few years.
