Maybe one of you pros can explain?

When the labor laws were passed in the 30's, they were specifically passed to get Henry Ford. He was the major holdout and the bane of the UAW chief, Walter Reuther. Since he owned all the stock, he was hard to get at.

Congress crafted the laws to get him. And really socked it to the Auto industry.

Another problem they have is that every State has laws protecting their Auto Dealers from being shut down by the Auto Companies. That's why there are waaaay too many dealerships. The Auto Companies are stuck with them.
