The "sale" is more like a spinoff, with MS getting 51% of the combined entity.

I'm concerned that Treasury get the right terms on the spinoff to adjust the terms of the CPP preferred and warrants. At a minimum Treasury has to get warrants in the spinoff. Otherwise CPP participants can circumvent the warrants by doing spinoffs.
