Also, at one time it was mentioned that Morgan and Breton would not be running the new company, as ex-employees, would their shares still be restricted? I don't have the answers.

According to the S-8, in the normal course of action the options would vest at a rate of 20% a year for 5 years. According to the transfer of control clause, which applies to exactly the situation that occurred with Rocky Mountain, the shares would vest either on the date of transfer of control, or six months after issuance, whichever comes last.

However, according to RMIL (I called them on the phone and reported this to the thread on monday morning) the shares behind the options are Rule 144 restricted shares, so even though the options are now fully vested, the shares will not become free trading for another 6 months or so.

Note this has nothing to do with the options for 4M more shares as detailed in the latest filing. However, those shares are clearly labeled as Rule 144 shares (unlike the ones from the S-8).

So, if I'm reading this right: if Morgan and Breton's shares are no longer restricted due to their change in status, then obviously the float has changed.

Does anyone know if this is true and please refer to some statement of fact. Eventhough, this is speculation at this point, it is worth exploring if it is a possibilty.

I'm actually surprised that few have made an attempt to resolve this issue of float vs. shares held. Is this a difficult issue to resolve or is it something that people have resolved for themselves already, and I am just clueless?

In any case, it's late and I'm going to sleep. Hoping that I will wake up to some answers tommorrow.

According To Gary, Morgan/Breton are in charge of the corporate offices and are "agents" of the company (they are still employees).
