SEC/TALK Downward pressure on AOL Q1 EPS ??
Have the analysts noticed/figured on this??

The SEC made TALK and AOL come into sync re. TALK expensing of
its $100 million to AOL and AOL's accrual of it into revenue.
The below says that TALK will delay some expensing due to
delay of the commercial launch date from the Sep Q to Dec Q.

Presumably, *if* AOL remains in sync, it will recognize as revenue
in Q1 less than previously anticipated. In its 97 10K filed 9/29
AOL revealed that it had recognized $24 million in Q3-Q497 and
expected to recognize an additional $26 million in Q1-Q298.
Presumably, the Q1 proportion is now less than anticipated.

10/21/97 Tel-Save Shares Fall After Company Forecasts 4th-Qtr Charges
New Hope, Pennsylvania, Oct. 21 (Bloomberg) -- Tel-Save
Holdings Inc. shares fell as much as 8.2 percent after the phone
company said it will take fourth-quarter charges of about $195
million for an acquisition and a marketing agreement.

Tel-Save had originally planned to take $77 million in total
charges for the AOL marketing agreement over the third and fourth
quarters of this year and the first quarter of 1998. It now
expects larger charges in the fourth and first quarters because
of a delay in beginning to market services to AOL customers.

[BTW it's $63 million, not $77 million]
