Because often when a company is "too big to fail," you can't separate out the good managers from the bad.

Just like you can't separate out the well-performing union guys from the underperformers. The unions would never agree to it.

This is what happens when mediocrity is rewarded. The fact that said rewards are contractual only means that "change" is going to be a lot harder than going onto the Tonight Show.
