You have similar benefits as an employee of a company. An employer generally owes its employees indemnification when the employee is sued for matters arising out of his employment. I think it's CA Labor Code Section 2802. Corporations Code Section 317, or thereabouts, covers corporate officers and agents as well.

Fraud, malfeasance, etc. can defeat the indemnification claims.
