Depends on the situation and on the state (and possibly local, or in certain defined situations, federal) laws.

My understanding is some states don't have any anti-brandishing laws, but I guess they could prosecute you for assault or making a threat or something.

If someone is making a serious threat or taking an overt action towards attacking you then your probably in the clear. Otherwise you may be in trouble, esp. in certain states, and esp. in locations with prosecutors who are aggressive on this issue.
