(IACAF ("IAE") BULLETIN TYPE: Property-Asset or Share Disposition Agreement BULLETIN DATE: July 15, 2009 TSX Venture Tier 1 Company We wish to advise that the TSX Venture Exchange (the "Exchange") approves the sale of an additional 15.15% portion of the Company's interest in certain oil and gas licenses in the North Sea on the United Kingdom's Continental Shelf. The properties include an additional interest in the Athena oil accumulation, an additional 15.15% interest in the Beatrice oilfield, an additional 15.15% interest in the Jacky oil discovery and an additional 10.10% interest in the Stella gas/condensate accumulation. These options were originally granted pursuant to the Sale and Purchase Agreement between the Company and Dyas UK Limited (the "Purchaser") dated October 30, 2008. In addition, the Company has agreed to sell to the Purchaser a further 19.19% interest in the Athena oil accumulation, an additional 9.6% interest in the Beatrice oilfield, and additional 6.16% interest in the Jacky oil discovery, and additional 4.77% interest in the Stella gas/condensate accumulation and an additional 7.84% in the Carna license. Total consideration is US$92.6 million to be satisfied as follows: (a) US$61.2 termination of outstanding loan and release of security; and (b) payment to the Company of US$31.4 million. TSX-X
