Tim Practicing securities law comes with one of the highest malpractice insurance premiums. There is a reason for that!!!!! You should check out that listserv group. Although you are not an attorney, it will show you many issues to look at IF they continue discussing that particular post. Of course, you could also post on your own and ask for input for areas that you need to consider. That particular piece of mail concerned a relatively simple organization. The one that you are looking at forming is far more complex. Good luck. Antonio
