Bob,

You and I really do agree on one thing. SOFTWORKS is good!!
If I could have been allowed to develop some discussion earlier
one of the ideas I would have floated was that there be a shareholder
proposal and proxy demanding a spin off of SOFTWORKS to the
existing shareholders. Something along the lines of taking Softworks public
and spinning half the shares to the CCEE shareholders whereby they would exchange
2 existing shares of CCEE for 1 share of CCEE and 1 share of SOFTWORKS.

This would have accomplished two things.

1. It would have freed SOFTWORKS of the CCEE management team.

2. It would reduce CCEE debt by I think about 1 MILLION DOLLARS
at the same time it gave it a 50% interest in what would be a growing asset.

The advantages are almost self evident but provision would need to be made to keep the bulk of the new board of directors free of control of the present board members. Another advantage is that it would reduce the outstanding shares of CCEE by half. Thus even if management continued to get authorization for more and more shares at least the existing shareholders would have something to make their wait on db whatever a little less bitter. And just think where SOFTWORKS could go if it could retain even half of what it is earning to secure it's own growth rather than shipping it all to BOHEMIA.

Hell at that point they could do a reverse split on both companies and it might for once be recieved as a positive on the street. It would get the market price of both out of the pennies.
