I spoke to Fletcher Chamberlain (he handles ADSO investor relations) and the deal sounds good (we'll see more in the 10q). With the deal comes an income stream from existing clients, and Kodak will continue to provide on-site maintenance and repair. The stock is valued based on the market (I don't have details as to what period), so Kodak didn't get any discount on it.

They also "acquired next-generation intelligent character recognition technology and patents developed by Kodak that have been field-tested but not yet commercialized."

I don't see any negatives in the deal.
