There is obviously more to this than meets the eye! Stock price has not colapsed and is actually stronger since the news! Something is up IMO...!

most officers SELL at the wrong time- but because they buy at the right time it don't hurt em too badly.

Sector,

There is no prohibition on selling after an acquisition is announced, though it is "tacky" to sell into the news that way. Notwithstanding, insiders have sold and do sell after an acquisition is announced, but before the registration statement is approved. I'm told that such approval can take as many as 4 to 6 months. I'm not a securities lawyer, so don't hold me to this.
