Hathor and NCR Jointly Announce Plan of Arrangement Has Closed

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Nov. 23, 2009) - Hathor Exploration Limited (HAT - TSX.V) ("the "Company") and Northern Continental Resources Inc. (NCR - TSX.V) ("NCR") jointly announce that, further to the Company's press releases dated July 15, 2009, September 18, 2009, and November 10, 2009, the Company has closed the plan of arrangement (the "Arrangement") with NCR. The effective date of the Arrangement is November 23, 2009 (the "Effective Date").

On November 10, 2009, NCR received shareholder approval of the Arrangement with 99.72% of the NCR shareholders voting in favor of the Arrangement. Final court approval for the Arrangement was received from the Supreme Court of British Columbia on November 16, 2009. Final approval from the TSX Venture Exchange (the "Exchange") for the Arrangement was obtained on November 23, 2009.

Pursuant to the Arrangement, on the Effective Date, the Company has acquired NCR on the basis of 0.1389 common shares of the Company for each NCR common share and results in the issuance of 8,922,116 Company common shares to NCR shareholders.

NCR shareholders of record as at October 5, 2009 were mailed a letter of transmittal setting out the procedure to be followed in order for them to exchange their certificates representing NCR common shares for certificates representing Hathor common shares. Additional letters of transmittal may be obtained from Computershare Investor Resources Inc. are also available on SEDAR, at www.sedar.com under NCR's profile.

Effective at the close of business on November 24, 2009 the NCR common shares will be delisted from the Exchange.
