There is no "Fundamental Change" reported, i.e. consolidation, liquidation, tender offer, reclassification, merger etc..

From my understanding and I think I'm correct (will call PR on Monday) there is no current option to reduce the converstion price below $47 when the note becomes available for conversion on Nov. 5. 1997.

Because CYMER listed the EXACT PRICE of 21.2766 shares per $1000 (note) = $47 per share, there is NO REASON TO SHORT THE STOCK BECAUSE YOU'LL GET 21 SHARES @ $47 PER SHARE and a small check for $13 (the difference on $1000) NO ONE WOULD WANT TO SHORT A STOCK HIGH AND COVER HIGH.

I've seen other S-3 (offerings etc..) that didn't list the EXACT conversion price and those are great short opportunities, THIS ONE DOES NOT APPEAR TO BE ONE OF THOSE OFFERINGS.
