OK you folks have me thoroughly confused.

There are preferred shares and regular shares.

What I'm concerned about is dilution.

I'm assuming some dilution (employee options) are allowed without stockholder approval. I'm also assuming that some dilution has to be approved.

My guess is splits affect both types of stocks and do not have to be approved because they do not dilute stockholders theoretical value.

Clarification?

You are correct, but the vote is pretty much a formality. Who wouldn't go along with a split?
