Help me understand, why would you buy special warrants for $10.20 (14C), if you can buy full-featured shares on the stock market, today, cheaper?

Does this mean that when the price is capped at $10.20 by this overhang of stock?

And how come the article is headlined - raising $21 million when it appears that they are raising $16 million or $10 million depending how you count? Perhaps this is all currency conversion.

And why does a software house need to raise cash anyway? They don't need to buy bricks and mortar, do they?
