The worst day in S3's history, 12-AUG-1996. The beginning of the end for a once great company. A true turning point for S3's fortunes. -------------------------------------------------------------------------------------------------------- S3 Incorporated Announces Retirement of Terry Holdt, President and CEO Gary Johnson Assumes Leadership Role SANTA CLARA, Calif. -- August 12, 1996 -- S3r Incorporated (NASDAQ:SIII), the world's largest supplier of graphics, video and multimedia accelerators1, today announced the retirement of Terry Holdt as president and chief executive officer and the appointment of Gary Johnson as president and chief executive officer (CEO). Holdt will remain active as vice chairman of the Board. "Gary possesses the vision, experience and enthusiasm we were looking for to drive this progressive company into the exciting opportunities of the future," said Holdt. "His vision for S3, combined with his solid leadership helping to build S3's net sales to $316 million in 1995, make him ideally suited to lead S3 in its emergence as one of the premier multimedia technology companies in the digital information marketplace." "As S3's leader through the most aggressive growth phase in the company's history, Terry's steady direction, integrity and influence will be missed," said Dado Banatao, founder and chairman of the board. "We are fortunate that Terry will continue his involvement with S3 as the vice chairman of the Board. In addition, Gary's appointment will bring renewed energy and focus to the company in its effort to expand into new markets." While senior vice president of S3's graphics business units, Johnson had profit and loss responsibility for products that represented a vast majority of the company's net sales. His experience includes management of all phases of the business cycle, from the creation of a business unit, to the successful launch and ramp of multiple generations of products. He created the mobile business unit at S3, and managed the development and launch of the first mobile product. In addition, under his leadership the Trio64V+ family of accelerators became the best selling 2D accelerators in the industry and, more recently, he oversaw the successful production ramp of the ViRGE family of 3D accelerators. Johnson offers an impressive portfolio of accomplishments in the PC industry, and the company expects him to be instrumental in leading S3 toward its future growth opportunities. S3 Incorporated has enjoyed dramatic growth over the past several years, as it achieved its position as the world's largest supplier of multimedia accelerators. The transition from graphics controller pioneer to worldwide market share leader of multimedia accelerators has allowed the company to define itself as a driving force in the PC industry. "Creating and changing markets will be our motto moving forward," said Johnson. "We intend to use our core technology leadership and market position to bring rich multimedia content into the lives of end users throughout the world." Johnson joined S3 in 1994 with nearly 20 years of experience in a variety of engineering, marketing and operational roles. From 1986 to 1994, Johnson held several senior positions at National Semiconductor Corporation, a semiconductor manufacturer, including managing director/general manager of the Wireless Networking Group and operations and marketing director of the Wireless Communications Group. From 1975 to 1986, Johnson held various engineering positions at British Telecommunications. Johnson holds a Bachelor of Science (1st Class Honors) and Chartered Engineer (C. Eng) from Leicester Polytechnic (Demonfort University), in the United Kingdom.
